1. Service Description

AceMaker AI ("the Application") is a general-purpose AI assistant marketed as a study aid, learning accelerator, and academic productivity tool. Its features — including AI-assisted problem analysis, writing coaching, GPA tracking, and reading digestion — are designed to help users learn more effectively, organize their coursework, and improve their academic performance.

The Application is provided as a tool. The user determines the appropriate context, manner, and extent of its use. The Application is not designed, marketed, or intended to circumvent any specific examination-security system, and any privacy, content-protection, or anti-screen-capture feature is provided solely to protect the user's personal workflow from unauthorized observation by third parties on shared networks or shared devices.

2. Acceptable Use

You agree to use the Application only in compliance with (a) all applicable laws of your jurisdiction; (b) the published policies of any educational institution, employer, certification body, or testing organization to whose rules you are subject; and (c) any contractual obligation you have undertaken with such entities.

You are solely and exclusively responsible for determining whether your intended use of the Application is permitted in any particular setting. The Application does not, and cannot, determine on your behalf whether a given examination, assessment, interview, or other monitored activity permits the use of AI assistance, external software, or third-party study aids. That determination rests entirely with you.

We do not endorse, encourage, or facilitate the violation of any institutional policy or examination rule. We provide a software tool; you decide when and how to use it.

3. User Representations and Warranties

By creating an account or using the Application, you represent and warrant — and you re-make this representation and warranty each time you use the Application — that:

• you are at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is higher), and you possess the legal capacity to enter into this agreement;
• for every use of the Application, at least one of the following is true: (i) you have express authorization from any institution, employer, certification body, testing organization, or other authority whose rules govern the activity in which you are then engaged; or (ii) you have determined, in good faith and after reasonable inquiry, that no such rule applies to that activity; or (iii) you elect, knowingly and voluntarily, to assume full and exclusive responsibility for any consequence — disciplinary, contractual, civil, or otherwise — arising from your use, and you accept that AceMaker AI bears no liability for any such consequence;
• you will not use the Application in any manner that violates applicable law, including laws prohibiting fraud, organized cheating, or unauthorized access to protected systems;
• you understand that the Application's privacy, content-protection, and process-isolation features are general workflow-privacy tools — not guarantees of undetectability — and that no software can guarantee that your use will not be observed, logged, or detected by a third party;
• you acknowledge that AceMaker AI is not a party to any agreement between you and any educational institution, employer, or testing organization, has no visibility into the rules of such agreements, and cannot be held responsible for any breach of those rules by you.

4. Privacy & Data

The Application processes your academic data (course information, grades, study materials) locally on your device and through secure cloud services. AI queries are routed through encrypted proxy infrastructure. We do not sell, share, or expose your academic data to third parties.

5. Disclaimer of Warranties

The Application is provided "as is" without warranty of any kind. We make no guarantees regarding the accuracy of AI-generated answers, GPA calculations, or any other output. Users should independently verify all information provided by the Application.

6. Assumption of Risk; Limitation of Liability

You expressly assume the entire risk of using the Application. This includes, without limitation, the risk that: (i) AI-generated output may be inaccurate, incomplete, biased, or contextually inappropriate; (ii) your use may violate a rule, policy, law, or contractual obligation applicable to you; (iii) you may be subject to academic, professional, contractual, civil, or governmental consequences as a result of your use; (iv) the Application's privacy or process-isolation features may fail or be circumvented by third parties; and (v) your account, credentials, enrollment, employment, or licensure may be revoked, suspended, or otherwise affected by an institution or authority based on your use.

To the maximum extent permitted by law, in no event shall AceMaker AI, its operators, contributors, affiliates, or service providers be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages — including, without limitation, loss of enrollment, revocation of degrees or credentials, denial of admission, loss of employment, professional discipline, fines, restitution, or attorney's fees — arising out of or in connection with your use of the Application, even if AceMaker AI has been advised of the possibility of such damages.

Aggregate liability of AceMaker AI to you for any and all claims relating to the Application shall not exceed the amount you paid AceMaker AI in the twelve (12) months preceding the event giving rise to the claim, or USD $100, whichever is greater. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions our liability is limited to the smallest extent permitted by law.

7. Indemnification

You agree to defend, indemnify, and hold harmlessAceMaker AI and its operators, contributors, affiliates, employees, and service providers from and against any and all claims, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorney's fees) arising from or relating to: (a) your use of the Application; (b) any breach by you of these Terms or of any representation or warranty made by you in §3; (c) any claim by an educational institution, certification body, testing organization, employer, regulator, or government authority relating to your use of the Application; or (d) any violation by you of applicable law or of the rights of a third party.

8. Governing Law and Forum

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Application shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

9. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect. The user warranties in §3 and the limitations in §6 and §7 are intended to be severable from one another; the unenforceability of any one shall not affect the enforceability of the others.

10. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be notified by email to the address associated with your account or by a prominent notice in the Application or on the website. Continued use of the Application after such notice constitutes acceptance of the updated Terms.
